Does every campaign need its own contract?
Agencies commonly sign one master services agreement per client and a statement of work for each campaign. The MSA holds the terms that rarely change, such as liability, confidentiality and ownership of the work. Each SOW covers the scope, timings and fees for one campaign. How do retainers usually work?
A retainer is a regular monthly fee for a set amount of time or service. Agency retainers usually say how many hours or deliverables are included, whether unused hours roll over, how extra work is billed and how much notice either side gives to end it. Clear wording on these points helps avoid disputes when a busy month runs over or a quiet month goes unused.
What happens when a client is late paying?
Payment terms commonly set a deadline, such as net 14 or net 30, and many allow interest on late invoices and a pause in work. In the UK, statutory interest on late commercial debts is set under the Late Payment of Commercial Debts (Interest) Act 1998, and gov.uk states the rate as 8% plus the Bank of England base rate. Contracts often set their own rate instead.
