How contracts work in New York
New York law is chosen in many commercial contracts, including by parties outside the state. Below: what the federal ESIGN Act and New York's own Electronic Signatures and Records Act say, and what we have not yet verified.
Are electronic signatures valid in New York?
Yes. Federally, ESIGN says a contract or signature may not be denied legal effect solely because it is electronic. New York's own law says an electronic signature has the same validity and effect as a handwritten one. New York has not adopted UETA; it relies on its Electronic Signatures and Records Act (ESRA).
Under the federal ESIGN Act, a signature, contract or other record relating to a transaction in interstate or foreign commerce may not be denied legal effect, validity or enforceability solely because it is in electronic form.

Which law and courts does a contract name?
US contracts commonly name the law of one state, for example "the laws of the State of New York", and the state or federal courts where disputes will be heard. Contract law in the US is mostly state law, so the choice of state matters more than the country.
