Material breach

A material breach is a serious failure to do what the contract requires, not a minor slip. In England and Wales the phrase is usually a contractual label: the termination clause says a material breach that is not cured in a set time lets the other side end the deal.

Freelance papers use “material” for unpaid invoices past a pause date, a missed launch milestone that was of the essence, or a leak of confidentiality. They should not use it for a typo on a slide. The termination clause is where the word earns its keep: notice, a cure period, then a right to end and to be paid for work already done.

We would rather you point at the clause than send a theatrical “you are in material breach” email. On Contracts.io both sides can see the signed wording on one link. Lex drafts a 14-day cure as the default for fixable failures, and an immediate right for insolvency or a secrecy leak. Follow that sequence.

What makes a breach “material”?

The contract decides. If it defines material breach, use that definition. If it does not, it means a serious failure: one that goes to a main purpose of the deal, not a technical miss. Non-payment of an undisputed invoice, delivering something other than the statement of work, or using the work before IP assignment on payment, are the usual freelance.

How is material breach different from a repudiatory breach?

Material breach is the contract’s own off-switch, usually after notice and a cure period. Repudiatory breach is the common-law off-switch: a breach that deprives the innocent party of substantially the whole benefit, following Hong Kong Fir. A contract can make a term material even if a common-law court would have treated it as innominate. You can have both rights.

Do we have to give a cure period?

If the clause says so, yes. Skipping a 14-day cure and terminating on day one is itself a risk — it can be a wrongful termination. Some breaches are written as incurable: insolvency, a secrecy leak, fraud. For late payment, a pause plus a cure is the usual path under payment terms.

What should a termination notice say?

Name the clause, name the facts, name the cure you require, and name the date. Keep it factual. Do not threaten rights the paper does not give you. Settlement offers go in a separate without prejudice thread. If you also rely on a repudiatory breach, say you accept the repudiation, so the election is clear.

A worked example

A client is 21 days past Net 30 on an undisputed milestone invoice. The freelancer agreement calls that a material breach if it is not remedied within 14 days of written notice, and allows a pause after 7 days overdue. The freelancer sends a notice pointing at those clauses, pauses the next sprint, waits 14 days, then terminates and invoices for work already accepted. They do not keep the files hostage.

How it shows up in a contract

Sample wording · our own drafting

If a party commits a material breach of this agreement and does not remedy it within [14] days of written notice giving details of the breach, the other party may terminate this agreement immediately by written notice. Termination does not affect rights that have already accrued, including the right to be paid for work performed.

In Plain English

If one side seriously breaks the contract and does not fix it within 14 days of being told in writing, the other side can end it straight away. Ending it does not wipe what is already owed, including pay for work already done.

Common mistakes

  • Calling every annoyance a material breach when the clause reserves that word for serious failures.
  • Skipping the cure period the clause requires, then terminating on day one.
  • Mixing a contractual material-breach notice with a without prejudice offer in the same paragraph.
  • Forgetting to say what is paid on termination, so a valid exit still turns into a fee fight.
